Terms of Service

Effective date: October 6, 2026

These Terms of Service (the “Terms”) govern your access to and use of Spider TMS (the “Service”), a software-as-a-service transportation management system for carriers, brokers and dispatchers, operated by BREGSS EXPRESS LLC (“Spider TMS”, “we”, “us”), a company located in Indian Trail, North Carolina, USA. By creating an account or using the Service you agree to these Terms. If you use the Service on behalf of a company, you confirm that you are authorized to bind that company.

1. The Service

Spider TMS provides tools for dispatching, load and document management, invoicing and related back-office workflows, together with optional integrations with third-party services such as accounting software (for example, QuickBooks Online) and telematics providers. We may improve, change or discontinue features from time to time.

2. Accounts and organizations

  • You must provide accurate information and keep your credentials confidential.
  • Each customer organization is a separate workspace. Organization owners and administrators decide who is invited and what each member may see or do.
  • You are responsible for all activity under your account and for promptly notifying us of any unauthorized use.

3. Your data

You retain all rights to the data you or your organization submit to the Service (“Customer Data”), including loads, documents, driver and vehicle records and invoices. You grant us a limited license to host, process and transmit Customer Data solely to provide and support the Service. You are responsible for the lawfulness and accuracy of Customer Data and for having the right to share it with the third parties you connect.

4. Third-party integrations

The Service can connect to third-party services at your direction. When you connect an integration such as QuickBooks Online, you authorize Spider TMS to access and exchange the data needed for that integration (for example, creating and updating customers and invoices in your accounting company file). You can disconnect an integration at any time from Settings, or from the third party’s own account settings. Third-party services are governed by their own terms and privacy policies, and we are not responsible for their availability or conduct.

5. Acceptable use

You agree not to:

  • use the Service unlawfully or to infringe the rights of others;
  • attempt to access another organization’s data or bypass access controls;
  • probe, scan or test the vulnerability of the Service, or interfere with its operation;
  • upload malicious code, or use the Service to send spam or fraudulent documents;
  • resell or provide the Service to third parties without our written permission.

6. Accuracy of financial and operational information

Invoices, rates, mileage and other figures are produced from the information you enter or import, and some features (such as document parsing) use automated processing that can make mistakes. You are responsible for reviewing outputs before relying on them, including before sending invoices to customers or posting them to your accounting system. Spider TMS is not an accounting, tax or legal adviser.

7. Fees

Paid plans, if any, are billed according to the order form or plan you select. Unless otherwise agreed, fees are non-refundable and exclusive of taxes. We will give reasonable notice before changing prices.

8. Intellectual property

The Service, including its software, design and documentation, is owned by Spider TMS and its licensors and is protected by intellectual property laws. Except for the right to use the Service under these Terms, no rights are granted to you. If you send us feedback, we may use it without obligation to you.

9. Confidentiality and security

We use reasonable administrative, technical and organizational measures to protect Customer Data, including tenant isolation between organizations, access controls and encrypted connections. No system is perfectly secure, and you are responsible for safeguarding your own credentials and for configuring member access appropriately. See our Privacy Policy for how we handle personal data.

10. Availability and support

We aim to keep the Service available but do not guarantee uninterrupted or error-free operation. We may suspend access for maintenance, security reasons or violations of these Terms. Support is available at support@spidertms.com.

11. Term and termination

You may stop using the Service at any time. We may suspend or terminate your access if you materially breach these Terms. After termination you may request an export of your Customer Data for a reasonable period; thereafter we may delete it as described in the Privacy Policy.

12. Disclaimers and limitation of liability

The Service is provided “as is” and “as available”, without warranties of any kind, to the fullest extent permitted by law. To the fullest extent permitted by law, Spider TMS will not be liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue or data, and our total liability for any claim relating to the Service will not exceed the amount you paid us for the Service in the twelve months before the claim arose.

13. Changes to these Terms

We may update these Terms from time to time. We will post the new version here with a new effective date and, for material changes, notify you in the Service or by email. Continued use after the effective date means you accept the updated Terms.

14. Governing law

These Terms and any dispute arising out of or relating to them or the Service are governed by the laws of the State of North Carolina, United States, without regard to its conflict-of-law rules.
